ATHLETIC MODEL GUILD MEMBERSHIP AGREEMENT & LEGAL DISCLAIMER

IMPORTANT! PLEASE READ CAREFULLY. These AMG Classics & AMG Brasil Terms of Use ("Terms of Use") constitute a legal agreement between you and Athletic Model Guild ("Athletic Model Guild") and spell out the terms and conditions to which users of the Athletic Model Guild AMG Classics & AMG Brasil site (the "Site") must adhere. Please read it carefully before using the Site or subscribing to the AMG Classics & AMG Brasil video streaming and other services (the "AMG Classics & AMG Brasil Member Sites"), because by using the Site or the AMG Classics & AMG Brasil Member Sites, you agree to be bound by the terms set forth here, as well as the terms of our Privacy Policy. If you do not agree with or do not wish to be bound by all of the terms and conditions of this Agreement, do not use the Site or the AMG Classics & AMG Brasil Member Sites. We reserve the right to amend these Terms of Use at any time.

AGE REQUIREMENT In order to use the Site or the AMG Classics & AMG Brasil Member Sites, you must be at least 18 years old or the applicable age of majority in the jurisdiction where you reside. You hereby represent and warrant to Athletic Model Guild that you are over the age of 18 or the applicable age of majority in the jurisdiction where you reside. You also represent and warrant to Athletic Model Guild that you possess the legal authority to enter into this agreement, as well as to enter into a contract for the purchase of the AMG Classics & AMG Brasil Member Sites.

ADULT THEMED NATURE OF SITE THIS IS AN ADULT THEMED SITE. By using the Site or the AMG Classics & AMG Brasil Member Sites, you agree that do not object to viewing sexually explicit materials. You further represent to Athletic Model Guild that you are familiar with the standards of the community in which you live pertaining to sexually explicit materials, and that you believe that the materials available from this Site and the AMG Classics & AMG Brasil Member Sites will not offend the standards of that community. You agree that, in no event, will you permit any minor to see any of the content available on the Site or as part of the AMG Classics & AMG Brasil Member Sites.

SUBSCRIPTION TO AMG CLASSICS & AMG BRASIL MEMBER SITES
The fees for a subscription to the AMG Classics & AMG Brasil Member Sites are posted on the Site. When you subscribe to any of the AMG Classics & AMG Brasil Member Sites, you authorize Athletic Model Guild or its authorized agent to charge your credit card for applicable fees, including, for recurring fees, if applicable, in accordance with the then-current billing terms posted on the Site. All fees are earned upon receipt and are non-refundable. Fees are subject to change at any time without notice. If you elect to cancel any subscription, your termination will become effective at the end of the current billing period. In order to cancel your subscription, you must send a cancellation request here no later than midnight of the last day of the current billing period. You are liable for any charges incurred by you up to and until your election to terminate your subscription plan becomes effective.

You may cancel any free trial subscription at any time prior to the expiration of the free trial period by sending a cancellation request here no later than midnight of the last day of the free trial subscription period. In the event that you do not cancel the free trial subscription prior to the expiration of the free trial period, you will be deemed to have elected to purchase a recurring subscription plan and the foregoing paragraph shall apply.

When you purchase a subscription plan, your payment will be processed securely by Athletic Model Guild or one of its authorized agents. Our agent may impose conditions or requirements in addition to those set forth in this Agreement, and you agree to abide by those terms.

While your subscription to the AMG Classics & AMG Brasil Member Sites is in effect, you agree to promptly inform Athletic Model Guild LLC of changes in the expiration date of any credit card used in connection with the purchase of any subscription plan; changes in your home or billing address and any changes in your email address.

OWNERSHIP AND ACCEPTABLE USE OF CONTENT All materials published or made available from the Site or as part of the AMG Classics & AMG Brasil Member Sites (including, but not limited to photographs, images, illustrations, video and product descriptions, written text, audio clips and video clips (collectively, the "Content")) are protected by copyright, trademark and all other applicable intellectual property laws, and are owned or controlled by Athletic Model Guild. You agree that you will not copy, duplicate, reproduce, modify, adapt, translate, exhibit, publish, transmit, participate in the transfer, sale or resale of, create derivative works from, distribute, perform, display, reverse engineer, decompile or dissemble any of our Content.

You agree that the Contents of the Site and the AMG Classics & AMG Brasil Member Sites are intended only for your own personal, noncommercial use on a single computer. If we detect that your account is being used by multiple parties, your subscription will be immediately suspended or terminated, at our discretion, without refund.

LOSS OF USER ID OR PASSWORD You are responsible for keeping your confidential user ID and password secure. You may not share your user ID or password with any other party. In the event of any loss, theft, or unauthorized disclosure or use of your user ID or password, you agree to immediately notify us here. You understand that you will be liable for any unauthorized use of the Site or the AMG Classics & AMG Brasil Member Sites resulting from any use of your user ID or password by any other party.

MAINTENANCE OF ACTIVE EMAIL ADDRESS You agree to at all times maintain an active email address. You agree to receive email announcements that may contain SEXUALLY EXPLICIT content from Athletic Model Guild LLC. You understand that Athletic Model Guild may terminate your access to the Site, and/or the AMG Classics & AMG Brasil Member Sites, in whole or in part, in the event that your email address becomes inactive.

DISCLAIMER OF WARRANTIES YOU AGREE THAT USE OF THE SITE AND THE AMG CLASSICS & AMG BRASIL MEMBER SITES ARE ENTIRELY AT YOUR OWN RISK. THE SITE AND THE AMG CLASSICS & AMG BRASIL MEMBER SITES ARE PROVIDED ON AN "AS IS" OR "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND. ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OF PROPRIETARY RIGHTS ARE EXPRESSLY DISCLAIMED. ATHLETIC MODEL GUILD DISCLAIMS ANY WARRANTIES FOR THE SECURITY, RELIABILITY, TIMELINESS, ACCURACY, AND PERFORMANCE OF THE SITE AND THE AMG CLASSICS & AMG BRASIL MEMBER SITES. ATHLETIC MODEL GUILD FURTHER DISCLAIMS ANY WARRANTIES FOR VIRUSES OR OTHER HARMFUL COMPONENTS IN CONNECTION WITH THE SITE, THE CONTENT OR THE AMG CLASSICS & AMG BRASIL MEMBER SITES.

LIMITATION OF LIABILITY UNDER NO CIRCUMSTANCES SHALL Athletic Model Guild BE LIABLE FOR DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES (EVEN IF ATHLETIC MODEL GUILD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM ANY ASPECT OF YOUR USE OF THE SITE OR THE AMG CLASSICS & AMG BRASIL MEMBER SITES, WHETHER THE DAMAGES ARISE FROM USE OR MISUSE OF THE SITE OR THE AMG CLASSICS & AMG BRASIL MEMBER SITES, FROM INABILITY TO USE THE SITE OR THE AMG CLASSICS & AMG BRASIL MEMBER SITES, OR THE INTERRUPTION, SUSPENSION, MODIFICATION, ALTERATION, OR TERMINATION OF THE SITE OR THE AMG CLASSICS & AMG BRASIL MEMBER SITES OR OTHERWISE. IN ANY EVENT, THE AGGREGATE LIABILITY OF ATHLETIC MODEL GUILD TO YOU SHALL NEVER EXCEED $100.

TERMINATION Athletic Model Guild may, in its sole discretion, terminate or suspend your access, at any time and without notice, to all or part of any of the Site or the AMG Classics & AMG Brasil Member Sites for any or no reason, including, without limitation, your breach of these Terms of Use. In the event of such termination or suspension of access, no refund of fees shall be made.

INDEMNITY You agree to indemnify and hold Athletic Model Guild, its officers, directors, shareholders, employees and its and their successors and assigns harmless from any claim or demand, including reasonable attorney fees and court costs, made by any third party due to or arising out of your use of the Site or the AMG Classics & AMG Brasil Member Sites or your violation of any of the provisions of these Terms of Use.

MISCELLANEOUS These Terms of Use have been made in and shall be construed and enforced in accordance with California law without regard to any conflict of law provisions. You agree that any action to enforce these Terms of Use shall be brought in the federal or state courts located in San Francisco, California. The failure of Athletic Model Guild to exercise or enforce any right or provision of these Terms of Use shall not constitute a waiver of such right or provision. You agree to comply with all applicable laws governing your use of the Site and the AMG Classics & AMG Brasil Member Sites. We make no representation that the Content of the Site and the AMG Classics & AMG Brasil Member Sites is appropriate for access outside of the United States; if you choose to access any of the Content of the Site or the AMG Classics & AMG Brasil Member Sites from outside the United States, you do so own your own initiative and you are responsible for compliance with local laws.
